Terms of service

These terms govern your use of Upbuild, the AI platform for marketing data provided by Uptimal ("we"). Section 1 names the group companies behind it and sets out what each one does. By signing in to the Upbuild app, connecting the Upbuild connector to an AI assistant, or using either, you accept these terms on your own behalf and, where you act for one, on behalf of the organisation you represent, which you confirm you are authorised to bind.

1. Who you are contracting with

Upbuild is a product of Uptimal. Two companies in the same group are involved, and it is worth being precise about which does what:

• Uptimal FZCO (Dubai, United Arab Emirates) provides the Upbuild service, the connector plans and the platform subscriptions. It is the party you contract with under these terms and the party that invoices you.
• Madtechers SLU, trading as Uptimal (CIF B01878834, Calle Viladomat 208, P.5 Pta.1, 08029 Barcelona, Spain), holds the Meta application behind Upbuild and operates the Meta integration, processing Meta advertising data on behalf of customers who connect a Meta ad account.

Both companies trade as Uptimal. In these terms, "we" and "Uptimal" refer to whichever company performs the function being described. Either can be reached at [email protected].

2. The service

Upbuild has two parts, and these terms cover both:

• The Upbuild app (app.upbuild.app), where an organisation connects the advertising and analytics accounts it already has access to (for example Google Ads, Meta Ads, Google Analytics or Google Tag Manager) and uses AI Dashboards, AI Insights, AI Data Exports and AI Alerts, built and changed by prompting Upbuild AI.
• The Upbuild connector (connector.upbuild.app), a read-only MCP server, part of the same toolset, that lets MCP-compatible AI assistants such as Claude, ChatGPT, Copilot Studio and Gemini Enterprise query the same accounts, and, for people who have one, reach their Upbuild app.

Every operation Upbuild performs on an advertising or analytics platform is read-only. The only thing Upbuild writes is a scheduled export you configure yourself, into a destination you own. The service depends on third-party platforms and assistants we do not control; their availability and terms apply to your use of them.

3. Accounts, organisations and access

• You sign in with your own Google or Microsoft account. Organisations on the Upbuild app are created on a work address; a personal email address takes part in an organisation only when one of its administrators invites it.
• An organisation is administered by the people it names as administrators. They decide who joins, which connected accounts are shared with whom, who may edit, and when the organisation is closed. Your organisation is responsible for the people it admits and for what it shares with them.
• Each person signs in individually. You must not share a sign-in, a session or a connector connection between people, and you must keep your credentials safe.
• You are responsible for having the right to connect and query the accounts you connect, for the destinations you write exports into, for the channels you route alerts to, and for complying with the terms of every platform involved.
• A person sees the accounts their own login reaches plus the accounts their organisation shares with them, and nothing else. Do not attempt to reach anything beyond that.

4. Free trials

• Connector: each person gets one 14-day free trial. It starts on the first tool call and needs no payment method.
• Platform: a new organisation gets one 7-day free trial, starting when we approve the organisation. It needs no payment method.

When a trial ends, continued use needs an active plan or subscription. We may decline, shorten or end a trial where it is used for anything other than a genuine evaluation, or where a person or organisation has already had one.

5. Connector plans and seats

Connector plans and prices are published at upbuild.app/mcp/#pricing. A seat is one assistant connected under one login; each plan includes a number of seats and more can be added. Editors and administrators of an organisation on the Upbuild app, on a subscription or during its trial, get the connector included with their seat; viewers do not. Plans are billed monthly or annually in EUR or USD through Stripe and are enforced per tool call. You can subscribe, change plan, update payment details or cancel at any time through the Stripe customer portal, reachable from your assistant. Cancellation takes effect at the end of the current billing period; there are no refunds for partial periods. Prices may change with at least 30 days' notice; changes apply from the next renewal. Taxes may be added where required.

6. Platform subscriptions

The Upbuild app is licensed per organisation under an order form or written agreement that states the plan, the term, the price and the payment terms. Unless the order form says otherwise: subscriptions are invoiced by Uptimal FZCO, invoices are payable within 30 days, a term ends on the date the order form states and renews only by written agreement, and when a term ends without renewal the organisation's access is suspended until it is renewed. Prices for a renewal may change with at least 30 days' notice before the end of the current term. Taxes may be added where required.

7. Private connectors and professional services

On request, we build private, read-only connectors to a customer's own data sources, and provide related services, for organisations with an active platform subscription. Such work is described in a separate statement of work that states scope, price and timing. Unless that statement says otherwise, the resulting software remains our property and is licensed to your organisation for the term of its subscription, and any credentials it uses remain yours.

8. Acceptable use

• No attempts to circumvent access rules, plan entitlements, seats or trials, and no sharing of sign-ins or connections between people.
• No use that violates law, the rights of others, or the terms of the platforms and assistant providers involved.
• No probing, scanning or disrupting the service, no reverse engineering, and no automated bulk extraction designed to replicate the underlying platform APIs at scale.
• No connecting of accounts, uploading of files or entering of data you have no right to use, and no personal data of end users beyond what the platforms' own reports contain.
• No reselling or offering of the service to third parties without a written agreement with us.

We may suspend access that breaches this section, and we will tell you why unless the law or a platform prevents it.

9. Your data and content

How we handle personal data and the marketing data you connect is described in the privacy policy. In short: read-only permissions, encrypted credentials, no model training, no resale, and deletion when you leave. Your marketing data and everything your organisation creates in Upbuild (dashboards, chats, exports, alerts, uploaded files) remain yours. You give us the rights needed to store, process and display them in order to run the service for you, and no more. You are responsible for the content you upload and for what your organisation shares through view-only links.

10. AI output

Upbuild AI builds dashboards, answers questions, sets up exports and writes alerts from your prompts and your data. Like every AI system it can misread a request, miscount, or present a figure with more confidence than it deserves. Review what it produces before you act on it or share it, in particular before budget, contractual or financial decisions. We do not guarantee that AI output is accurate, complete or fit for a specific purpose, and we are not liable for decisions taken on the basis of it.

11. Exports, alerts and destinations

Scheduled exports write into a destination you choose and own, such as a data warehouse table or a spreadsheet, or arrive as a file by email, exactly as you configured them. Alerts are sent to the email addresses and channels you choose. You are responsible for the access you grant to those destinations and channels, for any cost they incur, and for who can read what lands there.

12. Third-party platforms and assistants

Upbuild works on top of platforms (Google, Meta, TikTok, Snapchat, Adobe and others) and assistants (Claude, ChatGPT, Copilot Studio, Gemini Enterprise) that we do not control. Their terms apply to your use of them through Upbuild, they may change or withdraw their APIs at any time, and we are not responsible for their availability, accuracy or changes. Where a platform requires it, we may have to change or remove a feature.

13. Confidentiality and security

We treat your marketing data and the content of your organisation as confidential and use them only to provide the service, to support you and as the law requires. The security measures we apply are described in the privacy policy. You must keep your sign-ins, connections and shared links safe, and tell us promptly at [email protected] if you believe an account has been compromised.

14. Intellectual property

Upbuild, its software, its models of your platforms, its branding and its documentation remain the property of Uptimal. Your marketing data and your content remain yours. If you send us suggestions we may use them without obligation. Third-party names (Google, Microsoft, Meta, Claude, ChatGPT and others) are trademarks of their respective owners; Upbuild is not affiliated with or endorsed by them.

15. Availability and changes

We may update, add or remove tools and features, and may suspend access to protect the service, its users or a platform, or to comply with platform requirements or the law. We aim for high availability but do not guarantee uninterrupted operation, and we are not responsible for outages or changes in third-party APIs and assistants. Where a change materially reduces what a paid subscription includes, we will tell your organisation's administrators in advance.

16. Warranties and liability

The service is provided "as is" and "as available", without warranties of any kind beyond those that cannot be excluded by law. To the maximum extent permitted by law, Uptimal is not liable for indirect, incidental, special or consequential damages, loss of profits, revenue, data or business, or for decisions taken on the basis of data or AI output returned by the service. Our total aggregate liability for all claims under these terms is limited to the fees you or your organisation paid for the service in the twelve months preceding the claim. Nothing in these terms excludes liability that cannot be excluded by law.

17. Indemnity

Where you or your organisation use Upbuild in breach of these terms, of the law, or of the rights of a third party or a platform, you will defend and hold Uptimal harmless from the resulting claims, losses and reasonable costs, including the cost of responding to a platform's demand.

18. Suspension and termination

You can stop using the service, disconnect and close your organisation at any time. We may suspend or terminate access for breach of these terms, non-payment, or where a platform or the law requires it. When access ends, the organisation's data is deleted as the privacy policy describes, and any amounts due remain payable. Sections that by their nature should survive (including 9, 10, 13, 14, 16 and 17) survive termination.

19. Changes to these terms

We may update these terms. Material changes will be posted here with a new date and, for organisations with a subscription, communicated to their administrators at least 30 days before they take effect. Continued use after that date is acceptance of the new terms. Where an order form and these terms disagree, the order form wins for that organisation.

20. Governing law

These terms are governed by the laws of the United Arab Emirates. Disputes are subject to the courts of Dubai, UAE, without prejudice to mandatory protections that may apply in your place of residence.
